Vendor Agreement
This agreement applies to all vendors selling on PBridge Marketplace. By onboarding as a vendor, you agree to be bound by these terms in addition to our general Terms of Service.
1. Who can be a vendor
You must be:
- At least 18 years old (or registered as a Nigerian business)
- A Nigerian citizen or resident, or a registered Nigerian business
- Able to legally enter contracts
- Able to provide a Nigerian bank account (NUBAN) for payouts
- Able to fulfill orders within Nigeria (or with verified international shipping capability)
PBridge may verify your identity, business registration, and bank account ownership before allowing payouts.
2. Your relationship to PBridge
You are an independent vendor, not an employee, agent, partner, or franchisee of PBridge Marketplace. You sell your own products under your own brand. PBridge provides the platform, escrow service, and payment processing — nothing more.
This means: PBridge does not own your inventory, does not set your prices, does not guarantee your sales, and is not liable for the quality, legality, or safety of your products.
3. Your responsibilities
You agree to:
- List only products you legally own and have the right to sell
- Describe products accurately with real photos
- Fulfill orders within stated timelines (typically 1-3 business days to ship)
- Use the tracking number system or upload proof of delivery
- Respond to buyer messages within 24 hours during business days
- Honor your stated return policy
- Pay your own taxes (VAT, income tax) — PBridge does not withhold or remit on your behalf
- Maintain accurate business records for tax purposes
- Comply with all Nigerian laws applicable to your products (NAFDAC for food/cosmetics, SON for electronics, etc.)
4. Pricing and commissions
You set your own product prices. PBridge takes a commission on each successful sale based on your subscription tier:
- FREE plan: 8% commission per sale
- GROWTH plan (₦9,800/mo): 6% commission
- BUSINESS plan (₦29,800/mo): 5% commission
- ENTERPRISE plan (₦69,800/mo): 4% commission
Commission is deducted automatically when escrow releases. You see the exact amount before each listing in your dashboard.
PBridge may change commission rates with 30 days' written notice via email. You may cancel your subscription at any time before a rate change takes effect.
5. Payouts
Vendor earnings from completed orders are held in your PBridge wallet. You can request withdrawal to your verified Nigerian bank account at any time, subject to:
- Minimum withdrawal: ₦1,000
- First withdrawal requires admin approval (anti-fraud)
- Funds in active escrow are not withdrawable until released
- Withdrawal processing: 1-3 business days via Flutterwave Transfer
- Withdrawal fee: 0.5% capped at ₦100 (waived during launch promo)
6. Disputes and refunds
If a buyer disputes an order, escrow is paused until resolution. You may be required to:
- Provide proof of shipment (tracking, photos)
- Respond to the dispute within 48 hours
- Accept return of the item (if returned to you) before refund processes
PBridge's dispute decisions are final. We aim to be fair to both sides, but where evidence is unclear, we may rule in favor of the buyer to maintain trust on the platform.
Repeated buyer complaints or unfair business practices result in penalties: warning → 30-day suspension → permanent ban.
7. Subscription terms
Paid subscription plans (GROWTH, BUSINESS, ENTERPRISE) renew automatically each month unless cancelled. Subscriptions are non-refundable once charged. You may downgrade or cancel at any time; the change takes effect at the next billing cycle.
Failed renewal payments downgrade you to FREE plan after 7 days. Your existing products remain but new listing limits (and higher commission rate) apply.
8. Account termination
You may close your vendor account at any time. We will:
- Pay out any cleared wallet balance (after subtracting any active disputes)
- Allow you to download your sales history for 30 days
- Retain transaction records as required by Nigerian tax law (7 years)
PBridge may suspend or terminate your vendor account for:
- Violation of Terms of Service or Acceptable Use Policy
- Repeated failure to fulfill orders
- Fraud, counterfeit listings, or off-platform payment requests
- Negative seller rating below a threshold (currently 3.5/5 stars)
9. Intellectual property
You retain all rights to your product images, descriptions, and brand. By listing on PBridge, you grant us a non-exclusive licence to display, copy, and distribute your listings on the platform (and in search engines via SEO), for the duration your listings are active.
You confirm that all content you upload is either your own or licensed for commercial use. PBridge is not responsible for IP violations in vendor-uploaded content.
10. Limitation of liability
PBridge is not liable for:
- Lost sales due to platform downtime or maintenance
- Decisions by buyers, payment processors, or shipping companies
- Tax liability arising from your business activities
- Disputes between you and buyers beyond our escrow framework
Our total liability to any vendor is capped at the total commissions paid by that vendor over the previous 12 months, or ₦100,000, whichever is greater.
11. Governing law
This agreement is governed by Nigerian law. Disputes are resolved first by mediation through PBridge Marketplace, then by arbitration in Lagos State, Nigeria.
